Terms and Conditions

These Terms and Conditions govern the use of services provided by Happy Cat, Ed. By engaging our services, accessing our website, or participating in any training, tutoring, workshop, or coaching program, you agree to these Terms and Conditions.

1. Services Provided

Happy Cat, Ed provides professional services including, but not limited to:

  • AI training and professional development for educators

  • Classroom workshops

  • Coaching cohorts and ongoing support

  • District and school partnerships

  • One on one and small group tutoring services

  • Online and in person educational programming

Specific services, timelines, and deliverables may be outlined in written agreements, proposals, or invoices and are incorporated into these Terms by reference.

2. Educational Purpose Disclaimer

All services are provided for educational and informational purposes only. Happy Cat, Ed does not provide legal, compliance, or regulatory advice. Implementation of strategies, tools, or recommendations remains the responsibility of the client or participant.

3. Scheduling and Attendance

Tutoring Services

Tutoring sessions must be scheduled in advance. Cancellations or rescheduling made more than 24 hours prior to the scheduled session will not incur a penalty.

Cancellations made within 24 hours of a scheduled tutoring session will be billed at 50% of the session fee to account for reserved time and availability.

Failure to attend a scheduled tutoring session without notice may be treated as a late cancellation.

Workshops, Trainings, and Coaching

Dates and times for workshops, trainings, and coaching sessions are scheduled collaboratively and confirmed in writing. Clients are responsible for ensuring participant availability.

4. Payments, Deposits, and Fees

Workshops and District Services

For workshops, classroom trainings, coaching cohorts, and district partnerships, a non refundable deposit of 25% of the total service fee is required to secure dates. This amount reflects standard industry practice for professional development services.

The remaining balance is due according to the payment schedule outlined in the agreement or invoice, typically prior to service delivery unless otherwise agreed in writing.

Tutoring Services

Tutoring fees are billed per session or package as agreed in advance. Payment terms will be communicated prior to the start of services.

Late Payments

Late payments may result in paused services until the account is brought current.

5. Cancellations and Rescheduling

Workshops and Trainings

Client initiated cancellations of workshops or trainings may result in forfeiture of the deposit, depending on timing and preparation already completed. Rescheduling requests are subject to availability and may require additional fees.

Force Majeure

Happy Cat, Ed is not responsible for delays or cancellations due to circumstances beyond reasonable control, including but not limited to weather events, illness, or technical failures. Reasonable efforts will be made to reschedule services.

6. Intellectual Property and Use of Materials

All training materials, frameworks, curricula, slides, documents, and resources created by Happy Cat, Ed are protected intellectual property.

Materials are tailored to individual training sessions and may be shared live during sessions or provided after completion for internal use only within the specific school or district for which they were created.

Sharing, distributing, reproducing, or using materials outside of the originating district or organization is strictly prohibited without prior written consent from Happy Cat, Ed.

No license is granted beyond the limited internal educational use described above.

7. Confidentiality and Student Information

Happy Cat, Ed treats all client, educator, and student information as confidential and handles data in accordance with applicable privacy laws, including FERPA and COPPA, as outlined in our Privacy Policy.

8. Limitation of Liability

To the fullest extent permitted by law, Happy Cat, Ed shall not be liable for any indirect, incidental, consequential, or special damages arising from participation in services or use of materials.

Total liability, if any, shall not exceed the amount paid for the specific service giving rise to the claim.

9. Indemnification

Clients agree to indemnify and hold harmless Happy Cat, Ed from claims arising out of misuse of materials, failure to follow applicable policies, or violation of these Terms.

10. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the United States and the state in which Happy Cat, Ed is registered to operate, without regard to conflict of law principles.

11. Modifications to Terms

Happy Cat, Ed reserves the right to update these Terms and Conditions at any time. Updates will be posted with a revised effective date. Continued use of services constitutes acceptance of the updated Terms.
